Agreement to Terms

Welcome to Nexus App Studio ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, services, and any related applications or platforms (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Our Services

Nexus App Studio provides the following services:

  • Mobile application development (iOS and Android)
  • Web application development
  • MVP (Minimum Viable Product) development
  • AI integration and consulting
  • Technology consulting and strategy
  • Product discovery and planning sessions
  • Ongoing maintenance and support

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

User Responsibilities

When using our Services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Use our Services only for lawful purposes
  • Respect intellectual property rights
  • Not interfere with or disrupt our Services

Project Terms and Deliverables

Project Scope

Each project will be governed by a separate agreement or statement of work that outlines specific deliverables, timelines, and costs. The project scope will be clearly defined before work begins.

Timeline and Milestones

  • Project timelines are estimates and may vary based on complexity and client responsiveness
  • Delays caused by client feedback, changes in requirements, or external factors may extend timelines
  • We will communicate any potential delays promptly

Changes and Revisions

  • Minor revisions within the agreed scope are included
  • Major changes or additional features may incur additional costs
  • All changes must be approved in writing before implementation

Payment Terms

Fees and Billing

  • All fees are quoted in USD or INR as specified in the project agreement
  • Payment schedules will be outlined in individual project agreements
  • Typical payment structure: 50% upfront, 50% upon completion
  • For larger projects, milestone-based payments may be arranged

Late Payments

  • Invoices are due within 30 days of issuance
  • Late payments may incur a 1.5% monthly service charge
  • Work may be suspended for accounts more than 30 days overdue

Refund Policy

Refunds are considered on a case-by-case basis. Generally, work completed and delivered according to specifications is non-refundable. Refund requests must be made in writing within 30 days of project completion.

Intellectual Property Rights

Client Ownership

Upon full payment, clients receive ownership of the custom code and designs created specifically for their project, excluding:

  • Third-party libraries and frameworks
  • Our proprietary tools and methodologies
  • General knowledge and techniques

Our Rights

  • We retain the right to use general knowledge gained from projects
  • We may showcase completed work in our portfolio (with client consent)
  • We retain ownership of our development tools and processes

Third-Party Content

Clients are responsible for ensuring they have rights to any content, images, or materials provided for use in their projects.

Confidentiality and Non-Disclosure

We understand the importance of protecting your business information and ideas:

  • We treat all client information as confidential
  • We will not disclose project details to third parties without consent
  • Our team members sign confidentiality agreements
  • We implement security measures to protect client data
  • Separate NDAs can be signed for additional protection if required

Warranties and Disclaimers

Our Warranties

  • We warrant that our work will be performed in a professional manner
  • We provide a 30-day bug-fix warranty for delivered applications
  • We warrant that we have the right to provide the Services

Disclaimers

Except as expressly stated, our Services are provided "as is" without warranties of any kind. We do not guarantee:

  • Specific performance metrics or business outcomes
  • App Store approval or market success
  • Compatibility with all devices or future OS updates
  • Uninterrupted or error-free operation

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim shall not exceed the amount paid for the specific project
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for loss of profits, data, or business opportunities
  • Claims must be brought within one year of the incident

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

Support and Maintenance

Included Support

  • 30 days of bug fixes after project delivery
  • Basic documentation and handover
  • Initial deployment assistance

Ongoing Maintenance

Long-term maintenance and updates are available under separate agreements and may include:

  • Regular security updates
  • OS compatibility updates
  • Performance monitoring
  • Feature enhancements

Termination

Termination by Client

  • Clients may terminate projects with 7 days written notice
  • Payment is due for all work completed up to termination date
  • Clients receive all work products completed and paid for

Termination by Us

We may terminate services if:

  • Payment terms are not met
  • Client breaches these Terms
  • Project requirements become illegal or unethical
  • Client behavior becomes abusive or unreasonable

Governing Law and Disputes

These Terms are governed by the laws of Gujarat, India. Any disputes will be resolved through:

  • Good faith negotiation as the first step
  • Mediation if negotiation fails
  • Arbitration or courts in Vadodara, Gujarat as a last resort

We encourage open communication to resolve any issues before they become disputes.

Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters or extreme weather
  • Government actions or regulations
  • Internet or infrastructure failures
  • Pandemics or health emergencies
  • Labor strikes or disputes

We will make reasonable efforts to minimize any impact and communicate with clients about delays.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or applicable laws. We will notify clients of material changes by:

  • Posting updated Terms on our website
  • Sending email notifications to active clients
  • Updating the "Last Updated" date

Continued use of our Services after changes constitutes acceptance of the new Terms.
